Terms of Service

Terms for the Fusionmetrics hosted service, companion apps, and agent connections.

Version: 18 October 2026

1. Provider and scope

Fusionmetrics is provided by AC App-Commerce UG (haftungsbeschränkt), Möhringer Straße 63A, 70199 Stuttgart, Germany. Provider and representative details are in our Impressum. Contact Alex from Fusionmetrics, Founder, at [email protected].

These terms apply where agreed between us and the business or professional using Fusionmetrics (the “Partner”). The service is intended for business use by Shopify app Partners. A person accepting these terms for a Partner must have authority to do so. Individually agreed terms take precedence over conflicting provisions here. Publishing a new version does not by itself amend an existing agreement.

These terms cover the hosted service at fusionmetrics.com, its companion apps, and connections to that service through agents and plugins. Separately licensed self-hosted software and plugin files remain subject to their own licenses. The MIT license for our plugin materials does not license the Fusionmetrics application or grant free access to the hosted service.

2. The service

Fusionmetrics imports and prepares revenue and related activity from connected Shopify Partner accounts and other supported sources. Available features depend on the Partner’s plan and configuration. Imports can be delayed or incomplete, and metric definitions may differ from source systems. Check source records and the documented calculation method before relying on a result for accounting, tax, financial reporting, or other consequential decisions. Fusionmetrics does not provide accounting, tax, investment, or legal advice.

We maintain the service with reasonable care. Maintenance, upstream API changes, and interruptions can affect availability. No particular uptime or support response time is promised unless separately agreed. This does not limit the Partner’s statutory rights for defective or unavailable services.

3. Organizations and access

An Organization is the shared workspace for a Partner’s users, Partner accounts, apps, and billing. The Partner is responsible for authorizing its users, assigning appropriate access, and providing accurate account and billing information. Connect only accounts and data that you are authorized to use. Protect sign-in credentials and report suspected unauthorized access promptly.

Organization administrators can manage shared settings and authorize supported changes. Removing one user or deleting a personal identity does not necessarily delete an Organization’s shared data. Contact support to arrange changes that affect the whole Organization.

4. Plans, payment, and cancellation

The applicable price, billing interval, included usage, taxes, and any plan-transition rules are those disclosed when the Partner orders or agrees to a plan. Billing is associated with the Organization. Recurring subscriptions renew according to the agreed billing interval until canceled. A free plan or installing a plugin does not by itself authorize a paid subscription.

Where an agreed plan uses revenue thresholds, changes follow the disclosed observation, notice, and upgrade rules. Individually agreed, grandfathered, and lifetime access arrangements remain subject to their agreed terms; this page does not replace them. New prices outside an existing agreement require an appropriate agreement before they apply.

An Organization administrator can manage an available subscription through Billing or contact [email protected] to request cancellation. The cancellation confirmation identifies when recurring charges and paid access end. Disconnecting an agent, uninstalling a plugin, or removing an app from a device does not cancel the subscription. Refunds and credits follow the applicable agreement and statutory rights. Contact us about an incorrect charge; these terms do not waive rights to a refund or other remedy required by law.

5. Data and privacy

The Partner retains its rights in the data it provides. The Partner authorizes us to access, store, and process that data as needed to deliver and secure the agreed service and provide requested support. This does not transfer ownership of the Partner’s data to us. The Partner must have the permissions and lawful basis needed to connect its data sources and provide personal data, including Merchant details.

Our Privacy Policy describes personal-data handling, and our subprocessor list identifies service providers. Where we process personal data on the Partner’s behalf and a data processing agreement is required, that agreement must be in place before the relevant processing. Contact support to arrange it. These terms do not replace such an agreement.

Requests for data access, export assistance, or deletion can be sent to support. We may need to verify the requester’s authority and consider other authorized Organization users and legal retention obligations. Subscription cancellation and data deletion are separate requests. Keep copies of source records needed for your own business and legal obligations.

6. Agents, plugins, and contact capture

Connecting an assistant authorizes access within the permissions granted for the selected Organization. The plugin can include both setup and read-only analytics permissions. Setup permissions can allow configuration changes and import requests, including GA4 dataset mappings; analytics permissions can expose the selected Organization’s prepared data, including available Merchant contact information. Review requested permissions before connecting. Information returned to your chosen assistant is also handled under that provider’s terms and privacy practices. Disconnecting removes the connection from that assistant. Revoking its OAuth grant prevents token refresh, but an access token already issued by Clerk can remain usable until it expires, currently up to 24 hours. Fusionmetrics checks current Organization membership on every request. Disconnection or revocation does not recall information already shared with the assistant.

Google configuration and Shopify listing changes require authorization for those accounts separately from Fusionmetrics. Enter Partner API tokens, Shopify Client Secrets, and any Google service-account keys only through the designated browser credential form. Do not put them in chat, source files, or public repositories. Review agent-proposed code and run the required checks before deploying it. The plugin’s contact-capture workflow prepares local changes; deployment requires separate authorization. Passing local checks does not establish that a deployed integration works.

Merchant contact capture is optional and supports the app templates described in the documentation. Before enabling it, the Partner is responsible for the required notices, permissions, and lawful basis for collection and use. Do not use captured information for unlawful or unauthorized communications.

7. Acceptable use and intellectual property

The Partner may use the service for its authorized business purposes within the agreed plan. Our software, branding, and documentation remain owned by us or their respective licensors, subject to any separate open-source license. The Partner must not:

  • Access another Organization’s data without permission or bypass access controls or plan restrictions.
  • Upload malicious code, disrupt the service, or misuse it to attack another system.
  • Provide data unlawfully or infringe another person’s rights.
  • Resell access to the hosted service without our agreement.

Nothing here restricts rights that applicable law does not allow us to exclude.

8. Suspension and ending service

We may restrict access where reasonably necessary to address a security threat, unlawful use, a material breach, or overdue agreed fees. Where practicable and legally permitted, we will explain the reason and allow a reasonable opportunity to resolve it before restricting access. Urgent measures will be limited to what is reasonably necessary. Rights to terminate for cause under applicable law remain.

Contact support before ending service if you need export assistance. Ending access does not remove payment obligations already incurred or statutory retention duties. Any data return and deletion obligations under a data processing agreement continue to apply.

9. Responsibility and liability

Each party remains responsible under applicable law for its obligations and conduct. These terms do not impose a contractual monetary cap or exclude statutory liability, including liability for intentional misconduct, gross negligence, or injury to life, body, or health. Descriptions of product limitations do not remove mandatory remedies or agreed service obligations.

10. Changes and applicable law

We may propose updated terms as the service or legal requirements change. We will communicate material proposed changes and their intended effective date. Changes to an existing agreement require a valid contractual or legal basis; silence or continued use alone is not treated here as acceptance.

German law applies, without excluding any mandatory protections that otherwise apply. These terms do not require arbitration or prevent either party from using a competent court. If a provision is ineffective, applicable law governs that issue and the remaining provisions continue to apply.
